1. Acceptance of Terms
By accessing or using any service, website, platform, or SMS/text-message program provided by Netsys Corp ("Company," "we," "us," or "our"), located at 1555 Bonaventure Blvd, Weston, FL 33326, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

These Terms apply to all users, customers, resellers, and any person who interacts with Netsys Corp through any channel, including our website, telephone, email, or SMS messaging.

2. Description of Services
Netsys Corp provides business telecommunications services, including but not limited to:

Wholesale VoIP and voice termination
A2P (Application-to-Person) messaging services
Session Border Controller (SBC) solutions
Cloud PBX and unified communications
SMS/MMS messaging platforms and campaign services
Services are subject to availability and may be modified, suspended, or discontinued at any time with reasonable notice.

3. SMS / Text Message Program
IMPORTANT — SMS Consent: By opting in to our SMS program, you expressly consent to receive recurring automated text messages from Netsys Corp at the mobile number you provide. Consent is not a condition of purchasing any goods or services.

3.1 Program Description
Netsys Corp operates SMS messaging programs to send customers and prospects service-related alerts, account notifications, technical support updates, promotional offers, and other business communications relating to our telecommunications products and services.

3.2 How to Opt In
You may opt in to receive SMS messages from Netsys Corp by one or more of the following methods:

Completing and submitting a web form on our website with your mobile number and checking the SMS opt-in consent box.
Texting a designated keyword to our short code or long code as advertised.
Providing verbal or written consent during a sales or support interaction with our team.

To Opt Out:
Reply STOP to any SMS message at any time to unsubscribe. You will receive a final confirmation message.

Supported Carriers:
AT&T, Verizon, T-Mobile, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and most major US carriers. Carrier is not liable for delayed or undelivered messages.
3.4 Opt-Out
You may opt out of receiving SMS messages at any time by replying STOP to any message. After doing so, you will receive one final confirmation text and no further messages will be sent, except as required by law. To re-subscribe, text START to the same number.

3.5 TCPA Compliance
Netsys Corp's SMS messaging program is conducted in compliance with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and the FCC regulations promulgated thereunder. We will not send autodialed or prerecorded voice messages to your mobile device without your prior express written consent. Your consent may be revoked at any time as described in Section 3.4 above.

4. User Responsibilities and Acceptable Use
When using Netsys Corp services you agree to:

Provide accurate, current, and complete registration and contact information.
Maintain the security of account credentials and notify us promptly of any unauthorized use.
Use services only for lawful purposes and in compliance with all applicable federal, state, and local laws.
Not use Netsys Corp services to transmit spam, unsolicited messages, illegal content, or content that violates the TCPA, CAN-SPAM Act, or any other applicable regulation.
Not resell or redistribute messaging services without a signed reseller agreement.
Comply with all carrier guidelines, CTIA Messaging Principles and Best Practices, and applicable industry standards.
5. Accounts and Billing
Certain services require a registered account. You are responsible for all charges incurred under your account. Invoices are issued monthly (or as otherwise agreed). Undisputed invoices not paid within 30 days of due date may incur a 1.5% monthly late fee. We reserve the right to suspend service for non-payment after written notice.

6. Intellectual Property
All content on our website and within our platforms — including logos, trademarks, software, documentation, and design elements — is the exclusive property of Netsys Corp or its licensors. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

7. Disclaimer of Warranties
SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NETSYS CORP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES OR SMS PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Indemnification
You agree to indemnify, defend, and hold harmless Netsys Corp and its officers, directors, employees, agents, and partners from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from (a) your use of our services, (b) your violation of these Terms, (c) your violation of any applicable law or regulation, or (d) your violation of any third-party rights.

10. Privacy
Your use of Netsys Corp services is also governed by our Privacy Policy, which is incorporated herein by reference. By using our services, you consent to the collection, use, and disclosure of your information as described in that policy.

11. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to personal jurisdiction in such courts.

12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last Updated" date above. Material changes will be communicated via email or an in-service notice at least 14 days before taking effect. Your continued use of our services after the effective date constitutes acceptance of the revised Terms.
